Uzbekistan to Simplify Rules Governing Corporate Relations

Tashkent, Uzbekistan (UzDaily.com) — Uzbekistan will simplify the regulation of corporate relations. The President has signed a decree “On Measures for the Further Simplification of Corporate Relations” (No. PP–268 from. 5 September 2025).

The document establishes a more straightforward procedure for recognizing changes in the composition of participants in limited liability companies, including both additions and exclusions.

Such changes will now be considered effective from the moment the corresponding action is actually taken or the relevant event occurs. This applies to cases such as forced inclusion or exclusion of participants by court decision, sale of shares through the electronic platform “E-auksion” or other privatization methods, and sale or transfer of shares to third parties with notarization. Companies are required to notify other participants of such changes within 30 days.

The decree also provides for improvements to the Automated System for State Registration and Accounting of Business Entities. The system will allow participants to electronically notify others of the exercise of preemptive rights to purchase a share, indicate their intention to exercise or waive such rights, and will be integrated with the “Notarius” platform.

Starting from 1 November 2025, a Commission on Corporate Ethics will be established within the Public Council for Supporting Entrepreneurship under the President.

The Commission will provide companies with guidance on corporate ethics and offer practical assistance in resolving disputes related to its violations.
